Attachment: Main Clauses of the Contract
Party A (Buyer): Hangzhou Tianyuan Building Co., Ltd.

Party A and Party B, in accordance with the provisions of the Civil Code of the People’s Republic of China and relevant laws and regulations, and guided by the principles of good faith cooperation and mutual agreement, hereby reach the following agreement:
1 Product variety, specifications, quantity, and price

2 Product quality
2.1 All products must comply with National standards, industry standards, or standards stipulated in the contract, Compliant Relevant health regulations or standards require, Mildew-free, non-perishable, flavor-retaining, free of impurities, and non-toxic and harmless. If the goods require quality certification or inspection and quarantine, Party B must truthfully provide the product’s certificate of conformity, test reports, or detailed batch numbers for the goods. If the quality of the goods does not meet the agreed-upon requirements, upon request by Party A, Party B shall promptly arrange for returns or exchanges. If, after exchange, the goods still fail to meet the required standards, Party A shall have the right to replace the supplier and require Party B to bear all costs incurred as a result.
2.2 Party A may, at any time, conduct random inspections of the sources of goods supplied by Party B, the manufacturers’ production facilities, and Party B’s distribution locations. In the event of a dispute over quality between the two parties, the opinions issued by inspection and quarantine authorities such as the Hangzhou Quality Inspection Station or the Health and Epidemic Prevention Station shall serve as the standard for resolution.
2.3 Party B shall conduct a rigorous inspection of the products prior to delivery. If Party A discovers that the food supplied by Party B is moldy, spoiled, has an off-flavor, or contains impurities, Party A shall have the right to directly determine that the products have quality issues without requiring verification by a third-party agency.
2.4 With regard to the goods delivered by Party B, Party B shall bear all product liability arising from defects in the goods. Party B shall be responsible for all losses resulting from such product liability, including but not limited to possible litigation costs, attorney fees, recall expenses, personal or property damages suffered by third parties, compensation or indemnity payments made by Party A to third parties, and fines. At the same time, Party B shall obtain adequate relevant liability insurance coverage.
3 .Price and Payment Methods
3.1 The product prices stipulated in this contract include all costs associated with delivering the goods to the location designated by Party A, including taxes and fees, packaging costs, transportation costs, loading and unloading charges, insurance premiums, and all other expenses related to this contract. During the term of cooperation, the product prices specified in this contract shall remain unchanged and will not be affected by fluctuations in market prices or adjustments to tax rates, among other factors.
3.2 Both parties on 10th to 15th of the month following supply Verify last month's payment for goods. Party B shall provide Party A with a reconciliation statement and supporting documentation (including, but not limited to, shipping documents and inbound delivery notes) no later than the 5th day of the month following the month of delivery for Party A’s confirmation. The parties agree that Party A will pay Party B the purchase price four months after the month in which the payment was originally due. For example: Payment for January’s goods will be made in April of the same year; payment for February’s goods will be made in May of the same year, and so forth. After the reconciliation is confirmed to be accurate, Party B shall issue to Party A a special value-added tax invoice that meets the requirements (tax rate: 13%). Party A shall, based on the invoice provided by Party B and the documents confirmed by both parties, make payment in the fourth month starting from the month in which the goods payment was incurred. Transfer or online banking The payment for the goods shall be made to Party B in the manner specified below. If Party B fails to reconcile accounts on time or fails to provide invoices as required, Party A shall have the right to refuse payment for that item without this constituting a breach of contract. Party B agrees that if Party B violates the provisions of this contract, Party A shall have the right to directly deduct from the payments not yet made to Party B the corresponding compensation, liquidated damages, and other amounts. If the deduction is insufficient, Party B shall make additional compensation accordingly. 。
3.3 In the event that Party B commits a unilateral breach of contract or encounters other special circumstances involving contractual disputes, the payment deadline shall be postponed by three months from the originally agreed-upon payment date.
4 Packaging and Shipping
4.1 Party B shall provide packaging and transportation methods suitable for the products under this contract. The costs of packaging and transportation shall be borne by Party B. Furthermore, Party B shall assume the risks associated with the goods in transit under this contract (whether Party B transports the goods personally or entrusts a third party to do so).
4.2 The packaging of Party B’s products will strictly comply with the provisions of relevant laws, regulations, and standards, clearly and completely indicating on the packaging the ingredient list, product specifications and net content, actual production date and storage conditions, the product’s applicable standard number, and the food production license number, and ensuring the accuracy of all information provided.
5 Delivery method, location, and deadline
5.1 Delivery Method and Location: Delivery to the doorstep. Party B shall be responsible for delivering the goods to the location specified in Party A’s order or to a receiving location designated by Party A. If equipment installation or service provision is required, the time when Party A accepts the goods as satisfactory shall be deemed the point at which delivery is considered complete. If Party B determines that the delivered goods will be delayed or that their quality does not meet the contractual requirements, it shall promptly notify Party A without any delay, enabling Party A to make an informed decision. Should Party A discover obvious defects or damage caused during transportation at the time of delivery, Party A has the right to refuse acceptance on the spot. However, even if Party A accepts goods that are delayed or defective, such acceptance shall not be construed as a waiver of Party A’s rights to return the goods, request an exchange, or file a claim.
5.2 Delivery Time: The standard delivery time is within two business days of receiving Party A’s order request, or as specified in the order. All orders, transactions, and delivery requirements, as well as any amendments or supplements thereto, must be documented in writing. Party B shall deliver the goods in accordance with the requirements set forth in Party A’s order. In the event of an urgent, last-minute request from Party A, Party B shall respond immediately ( Deliver the required goods to the designated location within the specified time frame without disrupting Party A’s normal operations.
6 Acceptance
6.1 Upon arrival of the goods, Party A shall inspect and accept them according to the order details. The specifications and models of the products shall be subject to the requirements specified in the order.
6.2 After the goods arrive at Party A’s receiving location, Party A shall dispatch personnel to take samples for inspection and sign or stamp the delivery note to acknowledge receipt. However, even if the sampled goods pass inspection, it does not mean that all the goods are qualified. Should any nonconforming products be discovered during actual use, Party A retains the right to return or exchange such items. All legal liabilities and financial compensation arising from product quality issues shall be borne by Party B.
7 After-sales and Other Services
7.1 If, during the course of use, the product exhibits quality issues or fails to meet the required performance standards, Party A may request Party B to provide a return or exchange, provided that such return or exchange does not disrupt Party A’s normal business operations. The products provided by Party B in exchange must be qualified and conform to the product quality standards. Both parties shall keep detailed records of all returns and exchanges for future reconciliation and accounting purposes.
7.2 Party B shall bear full responsibility for any defects in the products. Party A has the right to choose among the following options: request Party B to re-deliver a defect-free product, or request Party B to grant a reasonable price discount. The exercise of these rights by Party A shall not affect any other statutory rights that Party A may possess. Party B shall bear all necessary expenses arising from the delivery of goods with defects. In emergency situations (to prevent disruption of production and operations), Party A reserves the right to decide to procure the same product elsewhere at its own expense, with such costs to be borne by Party B. Party B shall also bear all costs and risks associated with the return of defective products.
7.3 Under the condition of year-round supply, both parties shall provide each other with valid contact persons and telephone numbers. In case of any changes, Party B shall promptly and proactively notify Party A. For each order batch, Party B shall designate a specific person to be responsible for tracking and delivering the goods; the delivery personnel shall comply with Party A’s relevant rules and regulations. If special circumstances require arranging additional personnel to track and deliver the goods, both parties shall promptly prepare and maintain records of the handover of delivery information.
7.4 Other Agreements / 。
8 Performance bond
Within 15 working days after the contract is signed, Party B shall make the payment. 4,000 (four thousand) yuan The performance bond serves as security for Party B’s fulfillment of its obligations under this Contract. If Party B breaches the terms of this Contract, Party A shall be entitled to forfeit the performance bond or directly deduct from it any related expenses (including, but not limited to, liquidated damages and compensation). Any shortfall in coverage beyond the amount of the performance bond shall be promptly made up by Party B. Provided that Party B has not committed any breach of contract, upon termination or rescission of this Contract, after both parties have fully performed all rights and obligations arising from this Contract and completed the written handover procedures, Party A shall refund the performance bond in a lump sum without paying any interest.
9 . Default and Termination
9.1 If Party B fails to deliver the products to the location designated by Party A within the time and quantity stipulated in the contract, Party B shall pay Party A an amount equivalent to the total price of the goods involved in each instance of delay. 50 A penalty of % shall be imposed. If Party B fails to deliver on time more than three times within consecutive three months, in addition to the aforementioned penalty, Party A shall also have the right to unilaterally terminate this contract.
9.2 If the goods provided by Party B do not meet the national standards, industry standards, or the standards stipulated in the contract, Party B shall pay an amount equivalent to the total price of the goods with quality defects for each occurrence. 100 If the products provided by Party B exhibit quality issues twice within one month or four times within three months, in addition to the aforementioned liquidated damages, Party A shall also have the right to unilaterally terminate this contract and require Party B to assume liability for compensation.
9.3 Party B shall not unilaterally terminate the supply of goods during the supply process. If Party B needs to terminate the supply due to its own reasons, it must submit a written application to Party A one month in advance. Upon obtaining Party A’s written consent, Party B undertakes to continue supplying goods according to the contract terms for one month starting from the day following Party A’s written approval; otherwise, Party B shall bear the responsibility. 4000 If Party B fails to pay the default penalty in RMB, and such failure causes losses to Party A, Party B shall also compensate for all such losses.
9.4 Party B shall ensure that it has ownership or agency sales rights to the products and possesses all necessary qualifications, rights, or authorizations required for selling and manufacturing such products. Party A reserves the right to request Party B to provide relevant supporting documentation. Party B shall guarantee that the products delivered to Party A do not infringe upon the intellectual property rights or other legitimate rights and interests of Party A or any third party. Party B must ensure that Party A, in the course of subsequent use, sale, and other disposal of the products, will not be subject to claims by third parties alleging infringement of patent rights, trademark rights, or other intellectual property rights or legitimate rights and interests. Otherwise, Party B shall compensate Party A for any losses incurred as a result of third-party infringement claims (including, but not limited to, damages or compensation paid to third parties, fines, litigation costs, and attorney fees). If Party A or its customers are required to cease production, operation, or supply due to the use of products delivered by Party B infringing upon the intellectual property rights of a third party, Party A shall not be obligated to pay for the infringing batch of products, and any payments already made by Party B shall be fully refunded. At the same time, Party B shall bear all losses suffered by Party A as a result and may only resume supplying products after obtaining authorization from the owner of the intellectual property to use such intellectual property.
9.5 If Party B commits any act in violation of the provisions of this contract, Party A shall have the right to unilaterally terminate this contract and require Party B to compensate for all losses incurred by Party A as a result (including, but not limited to, actual losses, attorney fees, appraisal fees, litigation costs, and other expenses incurred by Party A in safeguarding its legitimate rights and interests).
10 Force Majeure
If either party is unable to perform the contract due to an unforeseeable, unavoidable, and insurmountable force majeure event, it shall promptly notify the other party and take appropriate measures to prevent further escalation of losses. In the event of force majeure, the parties may, through friendly consultation, agree to postpone performance, perform the contract in part, or terminate the contract, and may, depending on the specific circumstances, be exempted from corresponding liabilities.
11 Notification
All notices that one party is required to give to the other party under this contract, as well as all document exchanges between the parties and any notices and requests related to this contract, must be in writing and may be delivered by fax or express courier.
12 Dispute Resolution
Any disputes arising during the performance of this contract shall be resolved through consultation between the two parties. If no agreement can be reached through consultation or mediation, either party shall have the right to submit the matter to... Party A’s location The People's Court files a lawsuit.
13 Other Agreements
13.1 With respect to the information obtained by Party B from Party A, as long as such information is neither public nor obtained by Party B from other lawful sources, Party B shall remain bound by a duty of confidentiality throughout the duration of the cooperative relationship between Party A and Party B, as well as after the termination of such relationship. Party B may not disclose this information to third parties or retain it for its own use.
13.2 Party B is strictly prohibited from bribing, offering kickbacks, or giving cash gifts to Party A’s employees or agents. Party B is also strictly prohibited from providing any illegal benefits or advantages to any third party in the name of Party A. In the event that any of the above situations occurs, Party A may impose a penalty on Party B based on the higher of the following amounts.
- Five times the value of the bribe, kickback, or cash gift;

In addition, Party A shall have the right to immediately terminate the business relationship with Party B, cancel all orders, terminate this contract, return all existing inventory, and receive a full refund.

14 — Supplementary Provisions
14.1 Cooperation period: 2023 Year Moon Date to 2025 Year Moon On the date specified, both parties acknowledge that during the term of the cooperation, the procurement of tea products by the enterprises under Party A may also be subject to the terms of this contract. If, during the term of the contract, Party A’s parent group conducts a centralized procurement tender, the results of such centralized procurement tender by Party A’s parent group shall prevail; neither Party A nor Party B shall bear any liability for breach of contract, and the contract shall terminate automatically.
14.2 This contract shall become effective upon signature and affixing of seals. Should further agreements on contract terms be required during the performance of this contract, the parties may negotiate and execute a supplementary agreement. The acceptance by Party A of the goods and services delivered by Party B shall not be deemed as Party A’s consent to any other sales and supply terms proposed by the supplier.
