Hangzhou Tianyuan Building Co., Ltd. and its subsidiaries need to procure. Ongoing Legal Advisory Services Suppliers meeting the inquiry requirements are welcome to submit their documentation in accordance with the procurement project specifications.
One, Basic Project Information
(1) Project Name
Long-term legal advisory services for Hangzhou Tianyuan Building Co., Ltd. and its subsidiaries
(2) Procurement Method
Open tendering; the successful bid will be determined based on the principle of meeting procurement requirements, equal quality and service, and the lowest quotation.
(3) Maximum Price Limit for Procurement Projects
RMB 50,000.00 (tax included). Responses from bidding units exceeding the maximum price limit will be deemed invalid.
(4) Job Description Including, but not limited to
1. Provide legal opinions. Offer legal advice or prepare legal opinion letters as requested by the purchaser on legal issues arising from the purchaser’s daily business activities and internal management operations, including major decision-making processes. Assist the purchaser in identifying and proposing legal safeguards for business decisions. Provide legal assessment opinions on existing or potential legal disputes encountered by the purchaser during its business operations, and recommend risk-mitigation measures.
2. Drafting, reviewing, and revising legal documents. Drafting, reviewing, and revising various legal documents for purchasers, including but not limited to contracts, procurement documents, statements, external commitments, and other documents that are legally binding or entail specific obligations.
3. Review various rules and regulations as well as management provisions. Assist the purchaser in amending the company’s articles of association in accordance with the law; assist the purchaser in establishing and improving various rules and regulations as well as management provisions, and provide legal review opinions on these rules and regulations and management provisions.
4. Issue a legal letter. Based on the purchaser’s requirements, conduct legal analysis of potential legal risks, propose solutions, issue a legal letter, or draft an appropriate response plan.
5. Conducting argumentation and deliberation on major business matters and decision-making negotiations. Participating in the negotiation of significant business matters and the deliberation on major decisions made by the purchaser, analyzing and arguing from a legal perspective, and providing opinions on risk control. Responding promptly and participating in consultations and negotiations between the purchaser’s major projects and local governments.
6. Asset management. Assist the purchaser in asset management, including but not limited to providing advisory services and solutions on the legal protection of asset disposal, intellectual property, land use rights, real estate, accounts receivable, and trade secrets.
7. Labor and Personnel Services: Assist the purchaser in conducting legal risk assessments related to enterprise labor and employment practices; provide recommendations on the design of labor and personnel management plans as needed; review and propose amendments to the enterprise’s labor and personnel management systems; review or revise commonly used documents in human resource management, such as employment contracts, confidentiality agreements, non-compete agreements, payroll sheets, and attendance records; and provide guidance to enterprises on conducting risk assessments for terminating employee relationships, as well as on designing and implementing layoff plans.
8. Rule-of-law publicity: Assist the purchaser in conducting rule-of-law publicity and education for employees, and organize on-site legal training or hold legal lectures at least twice each year.
9. On-site office presence. At least once a month, an attorney shall be assigned to work at a location designated by the purchaser. In case of special circumstances, an attorney must be dispatched promptly in response to the purchaser’s work arrangements as requested by the purchaser.
10. Litigation-related cases. The agent representing the purchaser shall handle litigation, arbitration, and other civil, economic, administrative disputes, as well as other significant disputes that have not yet escalated into litigation (for the aforementioned matters, the parties shall separately enter into a separate agency agreement based on actual circumstances). The agent shall also represent the purchaser in consultations or negotiations with the opposing party to the dispute.
11. Handling petitions and maintaining stability. Assist the purchaser in carrying out petition-related stability maintenance work and provide legal advice to ensure that petition cases are handled in accordance with the law.
12. Communication and coordination: Actively assist the purchaser in communicating and coordinating with government agencies, judicial bodies, and other relevant parties, thereby creating a favorable external environment for the purchaser.
13. Other routine matters. Promptly handle other non-litigation legal matters entrusted by the purchaser, provide relevant legal information, offer advice on legal issues arising from administrative management, production, and operations, and deliver the legal services required by the purchaser.
14. Confidentiality requirements: Adhere to professional ethics and refrain from disclosing any information related to your advisory work to unauthorized individuals. Lawyers serving as legal advisors must not accept any form of solicitation, invitation, or contact from anyone or any entity related to their advisory work, thereby ensuring the smooth completion of all legal matters for the purchaser and safeguarding their legitimate rights and interests from infringement.
15. Service timeliness: Provide timely services for the purchaser’s legal matters in accordance with the following requirements:
(1) Provide legal advice at any time for daily legal matters and consultations;
(2) For routine legal documents such as economic contracts and internal rules and regulations, review opinions must be issued within 2 working days.
(3) For major decision-making matters, a legal opinion must be issued within 3 business days.
(4) For urgent legal documents, a preliminary review opinion must be provided within 2 hours.
16. Secure evidence. Collect evidence regarding actions that harm the purchaser’s interests and may give rise to legal disputes with the purchaser, thereby maximizing the protection of the purchaser’s rights and interests.
(5) Service Period
2025 Starting from May 31, the total service period will be two years, with contracts renewed annually. Upon expiration of the first year’s service period, the decision on whether to renew the contract will be based on the quality of performance, and the maximum duration for any renewal will not exceed one year.
II. Applicant Qualification Requirements
(1) Possess independent legal personality and hold a valid and lawful business license for corporate entities (provide a copy).
(2) No major economic disputes or criminal records in the past three years, or currently under investigation for suspected criminal activity (provide a letter of commitment).
(3) The screenshot of the law firm inquiry from the “National Platform for Publicizing Lawyers’ Integrity Information” must show no records of penalties or disciplinary actions (provide the screenshot).
(4) Possess a valid... Law Firm Practice Certificate 》(Provide a photocopy).
(5) Have at least three years of experience providing legal advisory services related to the hotel industry (provide relevant service contracts).
(6) Project team members must be current employees of the responding entity. They must provide their practice certificates, employment contracts, and social insurance certificates for at least the past three consecutive months, as well as a screenshot from the “National Platform for Publicizing Lawyers’ Integrity Information” showing their lawyer’s status. (The screenshot from the “National Platform for Publicizing Lawyers’ Integrity Information” must indicate that there are no records of penalties or disciplinary actions.)
(7) Bidding entities may participate in the inquiry and comparison process either under the name of the head office or a branch office; however, suppliers whose legal representatives are the same person or that have direct controlling or management relationships with each other shall not simultaneously submit responses to this project. (If a bidding entity is selected under the name of the head office, it shall not be permitted to designate its branch office to sign the contract.)
(8) This procurement does not accept participation by consortia.
